Access to the New Construction Coach® Program is a
conditional privilege, not a purchase.
By checking the acceptance box and enrolling, you are entering into a legally
binding agreement with New Construction Coach® LLC and agree to comply with all
Terms & Conditions below.
These Terms & Conditions (“Agreement”) are entered into
between New Construction Coach® LLC (“Company”) and the individual enrolling in
or accessing the New Construction Coach® educational program (“Participant”).
By enrolling in, accessing, or using the Program,
Participant agrees to be legally bound by this Agreement.
The Program is provided at no cost and is offered solely as
a conditional, revocable privilege.
Access is limited to individuals who, at the time of access,
meet all of the following conditions:
• Are affiliated with eXp Realty in any capacity recognized
by eXp Realty, including but not limited to Production, Referral, or Commercial
divisions; and
• Are within the Company’s designated sponsorship organization, as reflected in
official eXp Realty sponsorship records; and
• Are in good standing with eXp Realty and legally permitted to participate in
educational programs.
Production status, transaction activity, or sales volume are
not requirements for eligibility.
Eligibility is determined solely by the Company based on eXp
Realty records.
Access to the Program provided to Participants who qualify
under the Company’s designated sponsorship organization is provided at no cost
and as part of the sponsorship relationship.
The Company may, at its discretion, offer similar or related
educational content to individuals outside the Company’s designated sponsorship
organization under separate terms and conditions.
Nothing in this Agreement authorizes the Company to charge
sponsored Participants for access granted under this Agreement, nor does free
sponsored access create any obligation to provide access to non-sponsored
individuals.
For purposes of eligibility and organizational placement,
“Designated Sponsor” means the eXp Realty agent account designated by New
Construction Coach® LLC for this Program.
At the time of enrollment, the Designated Sponsor is Dale
Frazell.
The Company may change the Designated Sponsor at its discretion without notice
and without amendment of this Agreement.
No Participant acquires any right or expectation that a
specific individual will remain the Designated Sponsor.
Participant acknowledges and agrees that:
• Program access may extend to eligible agents within the
Company’s designated sponsorship organization, regardless of division or
production status;
• No Participant has authority to grant, promise, sublicense, or transfer
Program access to any other person;
• All access is granted solely by the Company and is subject to verification,
limitation, or revocation at any time;
• Each Participant is required to independently enroll in the Program and
electronically accept these Terms & Conditions as a condition of access,
regardless of sponsorship level or referral source.
All Participants—regardless of how access is obtained—are
bound directly and individually to this Agreement with New Construction Coach®
LLC.
Access to the Program is automatically and immediately
revoked, without notice and without grace period, if any of the following
occur:
• Participant is no longer affiliated with eXp Realty
• Participant is no longer within the Company’s designated sponsorship
organization
• Participant becomes inactive, suspended, or not in good standing with eXp
Realty
• Participant violates any provision of this Agreement
• Participant copies, records, screenshots, downloads, shares, or redistributes
Program content
• Participant attempts to repackage, reverse-engineer, or teach Program
material
• Participant uses Program material to train builders, agents, teams, or
brokerages
• Participant engages in conduct that materially harms the Program, the
Company, its intellectual property, or its reputation
Upon revocation, all licenses granted to Participant
terminate immediately.
The Company is not obligated to provide an appeal or review
process.
All Program materials—including videos, documents,
frameworks, methodologies, language, structure, and presentation—are the
exclusive property of New Construction Coach® LLC and are protected by
intellectual property laws.
Participant is granted a limited, non-exclusive,
non-transferable, revocable license to access the Program solely for personal
educational use while eligibility remains valid.
No ownership rights are conveyed.
Participant may not, under any circumstances:
•Copy, download, record, screenshot, photograph, or
reproduce Program content for the purpose of sharing, distributing,
publishing, teaching, repackaging, or using the content in any manner other
than the Participant’s own personal education
• Share login credentials or provide access to any other person
• Teach, coach, train, or present Program material in any form
• Create derivative works, frameworks, presentations, checklists, or courses
based on Program content
• Use Program material to train or advise builders, agents, teams, or
brokerages
• Represent Program content as Participant’s own system or methodology
• Use Program concepts for public content, marketing, social media, or
competing education products
Any attempt to circumvent these restrictions constitutes a
material breach of this Agreement.
Program materials include proprietary frameworks, structure,
presentation, and instructional content developed by the Company.
Participant agrees not to disclose, distribute, reproduce,
or use Program materials in any unauthorized manner outside the scope of
personal educational use.
Confidentiality obligations survive termination of access.
If Participant submits comments, questions, or materials
within the Program environment, Participant grants the Company a non-exclusive,
royalty-free license to use such content within the Program ecosystem.
No compensation or attribution is required.
The Program is provided for educational purposes only.
The Company makes no representations or guarantees regarding
income, production, success, or results.
Participant remains solely responsible for compliance with
all applicable laws, regulations, brokerage policies, and professional
obligations.
The Program is operated independently by New Construction
Coach® LLC.
eXp Realty is not a party to this Agreement and does not
sponsor, endorse, approve, or administer the Program.
References to eXp Realty are solely for eligibility
determination.
The Company reserves the right to modify, discontinue, or
restructure the Program or its availability at any time.
Any future offering of similar or related educational
content outside the Company’s designated sponsorship organization, if ever made
available, shall be governed by separate terms and conditions and does not
affect access granted under this Agreement.
Upon termination or revocation of access:
• All licenses immediately terminate
• Participant must cease all use of Program content
• Sections relating to intellectual property, confidentiality, prohibited use,
limitation of liability, and governing law survive termination
• The
Company may amend this Agreement as required to comply with applicable law or
regulation, and any such amendments shall apply automatically to all
Participants.
To the maximum extent permitted by law, the Company shall
not be liable for any indirect, incidental, or consequential damages arising
from participation in or loss of access to the Program.
Total liability, if any, shall not exceed zero dollars
($0.00).
This Agreement shall be governed by and construed in
accordance with the laws of the State of Washington, United States, without
regard to conflict-of-law principles.
Any legal action or proceeding arising out of or relating to
this Agreement shall be brought exclusively in the state or federal courts
located in the State of Washington, and the parties consent to personal
jurisdiction in such courts.
By checking the acceptance box and enrolling in the Program,
Participant acknowledges that they have read, understood, and agreed to be
bound by this Agreement.
Electronic acceptance constitutes a legally binding
agreement.
